JOINT VENTURE PROJECT PROPOSAL

| I. Introduction |
| FANTAWILD'S HI-TECH FAMILY FUNPLEX is Hytechnology's advanced indoor entertainment center designed especially for shopping malls and recreation areas. It's novel design, interactive product functionality and cutting-edge technology brand the FunPlex as a unique and exciting amusement franchise. The FunPlex project was designed along high and unified standards developed from Hytechnology's long-time development experience in entertainment industry. We have integrated the applications of many patented technologies and have focused on a single high-tech amusement center. |
| The FantaWild FunPlex is a large-size indoor attraction that requires a minimum 30,000 sq. ft. (about 3000m 2 ) space and the height shall be no less than 15ft . (about 4.5m ). The FunPlex is networked by Computerized Management System and consists of more than 60 attractions divided into different subsections. These subsections have simulations, network gaming, virtual reality, multimedia cartoons, 3D movies and 3D games. Each subsection specializes in one or more of the above features and appeals to one or more family demographic. When all of the sections are combined into one entertainment center it will make the Fantawild Family FunPlex. |

| II.
Target Market |
| The target market demographic of the FunPlex is every member of the entire family. There are many interesting attractions that appeal to all age groups, sexes and demographics. Therefore children, youths and adults may find attractions designed especially to appeal to their demographic and spend both their time and money here to enjoy themselves. |

| III. Acquisition of Business Interest |
| Hytechnology welcomes any company who qualifies to cooperate in this venture. Hytechnology Inc., hereby known as “Hytech” and the prospective partner, hereby known as “Partner” will acquire and hold the FantaWild FunPlex during the cooperation period. |

| IV. Capital Investments |
| HYTECH will invest the following: |
| 1.
55% to 65% of Fantawild FunPlex total attraction cost [ percentage will be based upon HYTECH's discretion depending on the perceived risk factor of the proposed location] ;

| 2.
The general layout design, the project design;
|
| 3.
Installation and system testing;
|
| 4.
Provide system maintenance, upgrading of the system and software;
|
| |
| The PARTNER will be required to invest the following: |
| 1.
35% to 45% of Fantawild FunPlex total attraction cost [ percentage will be based upon HYTECH's discretion depending on the perceived risk factor of the proposed location] ;

| 2.
A suitable location and building pre-approved by an authorized representative of Hytech.
|
| 3.
Space and decoration according to the design provided by Hytech, including piping, water, electricity, lighting system, air conditioning, power supplies, fire protection facilities and other requirements to run the project.

| 4.
Supervision of daily operations, management expenditures (including consumable materials);
|

| V. Shipping and Custom Clearance |
| 1.
The project equipment will be shipped based on FOB Hong Kong , depending on the country and the duties involved.

| 2.
The Partner will be responsible for the transportation cost, customs duties, local transportation costs and other possible costs to its destination.
|
| 3.
The Partner has the responsibility to deliver the project equipments from the port to the installation site and to any lots thereafter.

| VI. Operational Terms and Duration |
| The term should no less than 6 years term in accordance to the requirements and terms stipulated in this proposal. Upon expiration of terms, both parties will continue the cooperation of the FunPlex in the following approach: |
| 1.
The agreement can be extended if both parties are willing to go on with the cooperation defined in this proposal.

| 2.
Either party or any third party can outright purchase the entire system. Partner will have first priority to make this purchase, Hytech will have second priority and any third party will have last priority in purchasing the system outright. Outright purchase of the system by any party can only occur once the 6-year term is over. Hytech reserves the right to approve and reject any third party who wishes to purchase the system.

| 3.
Both parties may take back their own equipments, all licensed software and all proprietary materials once the term of this proposal terminates.

| VII. Revenue Share Terms |
| So long as Hytech and the Partner are the owners in common of the FunPlex Project, both parties shall have the following principles, after any sales representative commission is deducted. |

| VIII. Installation Duration |
| The total duration for the installation of the entire project shall be approximately 6 months after Hytech and the Partner have both accepted the proposal and signed a contract. |

90 days for production
Phase 2:
30 days for shipping
Phase 3:
60 days for installation and training |

| IX. Conclusion of Proposal's Terms |
| The terms defined within this proposal shall expire on December 31 st , 2007. Please contact us for the most current proposal. |
